Bruchou advised Roxgold in its business combination with Fortuna
Bruchou assisted in Argentina to Roxgold Inc. (Roxgold), a Canadian mining company, in connection with the definitive agreement with Fortuna Silver Mines Inc. (Fortuna) for their business combination with the aim to create a low-cost global intermediate platform of precious metals production in the world’s fastest growing producing regions.
Under the terms of the agreement, Fortuna will acquire all the issued and outstanding securities of Roxgold pursuant to the agreed plan. Once the transaction is closed, Fortuna and Roxgold shareholders will own approximately 64.3% and 35.7% of the pro forma company, respectively.
