Bruchou advised on the Issuance of debt securities under the “RG ALBANESI SERIE X” Financial Trust

Tavarone, Rovelli, Salim & Miani and Bruchou, Fernández Madero & Lombardi advised on the recent issuance and placement in Argentina of debt securities in the form of Trust Securities for AR$ 730,000,000 equivalent to USD 10,750,312.94, under the “RG Albanesi Series X” financial trust. The “RGA Albanesi Series X” is a financial trust created under the Global Trust Program “RG ALBANESI”. Rafael G. Albanesi S.A., one of the most important Argentine gas trader, acted as trustor, TMF Trust Company (Argentina) S.A. acted as trustee, Banco de Servicios y Transacciones S.A. acted as arranger and placement agent; SBS Capital S.A. acted as arranger; and SBS Trading S.A. y BACS Banco de Crédito y Securitización S.A. acted as arrangers and placement agents.

The trust assets are gas sales arrangements. The Argentine Exchange Commission (Comisión Nacional de Valores) authorized the public offering of the securities on May 13, 2020 and the securities were issued on May 21, 2020. Tavarone, Rovelli, Salim & Miani acted as legal advisor for the trustor through a team consisting of partner Federico Miguel Salim and associates Facundo González Bustamante, Luciana Godoy Mosso, Eugenia Kasangian and Eugenia Homolicsan.

Rafael G. Albanesi S.A. was also advised by its legal team consisting of Gastón Mayorca and Fabiola Busto Blanco.
