We advised the placement agents on the issuance of notes by Mastellone Hermanos S.A. for US$20,000,000
Bruchou & Funes de Rioja and Cibils, Labougle, Ibáñez acted as legal advisors in the issuance of Mastellone Hermanos S.A. (the “Issuer”), the largest company in the dairy sector and the leading producer of fresh dairy products in Argentina, of its Series 1 Notes denominated and payable in U.S. Dollars, for an amount of US$ 20,000,000 (the “Series 1 Notes”), under the Issuer’s Program for the Issuance of Notes for an amount of up to US$ 500,000,000 (or its equivalent in other currencies or units of value).
The Series 1 Notes will be due after 6 months as from its issuance date, on June 16, 2025 (the “Series 1 Notes Due Date”), and will bear interest at a fixed annual rate of 4.50% and will be repaid in a single payment due on the Series 1 Notes Due Date. Moody’s Argentina has rated the Series 1 Notes as “A-1.ar”.
The Notes have been admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading on the Mercado Abierto Electrónico S.A., being eligible by Euroclear Bank S.A/N.V.
Banco de Galicia y Buenos Aires S.A.U., Banco Santander Argentina S.A., and Banco Patagonia S.A. acted as arrangers and placement agents of the issuance (the “Arrangers and Placement Agents”), and Balanz Capital Valores S.A.U., Puente Hnos. S.A. and Allaria S.A., acted as placement agents of the issuance (the “Placement Agents”, and together with the Arrangers and Placement Agents, the “Agents”).
