Registering Your Foreign Company in Argentina Just Got Simpler
Through General Resolution No. 13/2026, Argentina’s Corporate Registry (IGJ) removed one of the main obstacles to registering foreign companies. The change applies both to the registration of foreign companies seeking to hold shares or interests in local companies and to the filings required to open a branch in Argentina. There is no longer any need to rebuild the full chain of bylaw amendments, with translations and legalizations.
GR 13/2026 in force: from November 5, 2026, the day after its publication in the Official Gazette, including pending filings.
The problem it solves: Section 164 of GR 15/24, as amended by GR 4/26, required the articles of incorporation and all amendments in certified copy. Many foreign registries issue only the current consolidated bylaws.
What’s new:
Consolidated bylaws are enough. Companies may file the current consolidated bylaws. Only amendments involving a change of name, transformation, merger, spin-off or change of jurisdiction must be attached, unless that history appears in the consolidated text.
Sworn statement instead of the instrument. Any amendment may be evidenced by a sworn statement from the parent company or the legal representative. It must give the date, purpose, registration details and, where relevant, the link of legal continuity.
More flexible completeness statement. It may be included in the pre-qualification opinion or in a sworn statement.
Digital certification. Documents may be certified by a notary or by the home registry, including in verifiable digital format.
Practical impact: lower translation and legalization costs and a faster route for foreign investors to start operating in Argentina.
