Bruchou advise on Vista Oil & Gas Argentina S.A.U. debt refinancing

Bruchou Fernández Madero & Lombardi and Cleary Gottlieb Steen & Hamilton LLP advised Vista Oil & Gas Argentina S.A.U. (the “Company”), a company engaged in the exploration and production of oil and gas, and Shearman & Sterling LLP and EGFA Abogados advised the lenders Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A., Itaú Unibanco S.A., Nassau Branch, Banco Santander Río S.A., Citibank N.A. and Citibank, N.A., Argentine branch, in the refinancing of the Company’s outstanding financial debt.

The transaction consisted of (i) the execution of a syndicated loan agreement between the Company and Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A., Banco Santander Río S.A. and Citibank, N.A., Argentine Branch as lenders, for an amount in Pesos equal to up to US$45 million, under the laws of Argentina, to be disbursed in two tranches (the “Syndicated Loan Agreement”), the proceeds of which were and will be applied to payments of principal under the credit agreement dated as of July 19, 2018 (as amended, the “Original Credit Agreement”), entered into by the Company, as borrower, and Banco de Galicia y Buenos Aires S.A.U., Itaú Unibanco S.A., Nassau Branch, Banco Santander Rio S.A. and Citibank, N.A., as lenders, among others; and (ii) an amendment to the Original Credit Agreement; both dated as of July 17, 2020.

Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A., Banco Santander Río S.A., and Citibank, N.A., Argentine branch have acted as lenders under the Syndicated Loan Agreement, while Banco de Galicia y Buenos Aires S.A.U., Itaú Unibanco S.A., Nassau Branch, Banco Santander Río S.A. and Citibank N.A. acted as lenders under the Original Credit Agreement. Banco de Galicia y Buenos Aires S.A.U. and Citibank, N.A. acted as Administrative Agents, respectively.
