We advised on the acquisition of 75% of the share capital of GOintegro by Edenred
Bruchou & Funes de Rioja acted as legal advisors to the main shareholders of GOintegro group and Cuatrecasas (Barcelona) acted as legal advisors to Edenred S.E. (“Edenred”) in the negotiations leading to the sale of 75% of the share capital of Integro Worldwide S.A. and its subsidiaries (“GOintegro”).
In addition to the founders of GOintegro, the sellers are the private equity funds Riverwood Capital and Kazek. Endeavor Global also agreed to sell its stake in the holding company.
The details of the agreement
The agreement to purchase of 75% of the share capital of Integro Worldwide S.A. by Edenred was entered on April 19th, 2023, and closing is subject to completion of certain conditions precedent (including CADE approval). The control of GOintegro by Edenred is a part of its strategic plan to extend its employee engagement in Latin America, expanding its Employee Benefits offer and strengthening its value proposition for HR managers in Latin America.
The founders of GOintegro remain minority shareholders with a 25% equity stake and shall continue in their role of CEO and COO of the group.
