  • We advised Petroquímica Comodoro Rivadavia S.A., a company engaged in the exploration and production of hydrocarbons, the generation of renewable energy and the production and distribution of cement in a syndicated loan governed by Argentine law for an amount of up to $6,757,530,000. The lenders were Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A. and Banco Santander Río S.A. (2021).
  • We advised Vista Oil & Gas Argentina S.A.U., a company engaged in the exploration and production of oil and gas, in the refinancing of the Company’s outstanding financial debt. The lenders were Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A., Itaú Unibanco S.A., Nassau Branch, Banco Santander Río S.A., Citibank N.A. and Citibank, N.A., Argentine branch (2020).
  • HSBC Bank USA N.A., as lender, in a cross border financing for a power project of YPF Energía Eléctrica SA (“YPF Luz”), an Argentine power and renewable energy company, for an amount of up to US$ 30,000,000 (2020).

(“FMO”), acted as arranger, in a cross border pre-export financing of certain commodities to Vicentin S.A.I.C. for an aggregate principal amount of  US$ 150 million. Crédit Agricole Corporate and Investment Bank acted as joint bookrunner and Natixis; New York Branch acted as security agent(2019).

  • Inter-American Investment CorporationKFWKFW IPEX-BANK and EKF Denmark’s Export Credit Agency, as lenders, in a project finance for an aggregate amount of US$ 108 million granted for the construction, operation and maintenance of the Bicentenario 125.2 MW renewable wind energy power plant located in the Province of Santa Cruz, Argentina. The financing was granted under the RenovAr renewable energy program in Argentina (2018).
  • EKF Denmark’s Export Credit Agency and Citibank, N.A. in a loan for an aggregate amount of US$ 122 million granted to Aluar Aluminio Argentino S.A.I.C. to the development of the 60MW El Llano Phases II and III wind farm project located in the province of Chubut, Argentina (2018).
  • Corporación Andina de FomentoEKF Denmark’s Export Credit AgencyNederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. and Sumitomo Mitsui Banking Corporation in a project finance for a total amount of US$ 130 million granted to Genneia for the development and construction of the wind farms Chubut Norte I and Villalonga. The financing was granted under the RenovAr renewable energy program in Argentina (2018).
  • Cargill, a leading company in the agribusiness sector, in the acquisition of the majority control of Glucovil Argentina S.A., a Ledesma S.A.A.I. company and one of the most important companies of wet corn milling in Argentina, for an aggregate amount of US$ 79.5 million. Cargill acquired 40% of Glucovil shares and will control 70% of the company, leaving Ledesma with the remaining 30%; the total amount of shares may include an additional 7.5%. The transaction also included a US$ 12 million loan to the company, disbursed on closing day, May 29, 2018 (2018).
  • ING Capital LLC., as arrangers, bookrunner, administrative agent and lender, and Itaú Unibanco, as lender, in a syndicate loan for a total amount of US$ 75 million granted to CPS Comunicaciones S.A. (Metrotel), a telecommunications company, which will use it to expand its services in Argentina. The Bank of New York Mellon, in United States, and TMF Trust Company S.A., in Argentina, acted as trustee (2018).
  • CP La Castellana S.A.U. and CP Achiras S.A.U., affiliates of Central Puerto, and CP Renovables S.A., subsidiary of Central Puerto, in a project finance for an aggregate amount of US$ 150.7 million to develop two wind farms of jointly 148 MW. The financing was granted under the RenovAr renewable energy program in Argentina (2018).

The resources will be destined to Simplot Project, which consists in the acquisition of the machinery and construction of a plant in the province of Mendoza (2017).
  • Inter-American Investment Corporation (IDB Invest), Banco Santander and Industrial and Commercial Bank of China in a US$ 104 million financing package granted to Greenwind S.A. -a subsidiary of Pampa Energía S.A.- for the 100.05MW El Corti wind farm in Bahia Blanca, Argentina. The loan was one the first financings granted by international lenders to a project developed under the RenovAr renewable energy program in Argentina (2017).
  • Industrial and Commercial Bank of China (Argentina) S.A.and Banco de Galicia y Buenos Aires S.A., acting as arrangers of syndicate of local banks, and with the support of General Electric Company acting as EPC Off-Shore and On-Shore Contractor, in two syndicated loans to UENSA S.A. and UGEN S.A. (both affiliates of MSU Energy Group) in the amount of US$ 230 million for the construction, operation and maintenance of two thermoelectric power plants (2017).
  • Inter-American Investment Corporation as lenders of a loan in the amount of US$ 124.4 million to Autopistas Urbanas S.A. (AUSA). The proceeds of the loan will be used for AUSA’s investment program, which includes civil works for the connectivity and traffic improvement in the City of Buenos Aires, under the Second Road Safety and Urban Mobility Program (2017).
  • The Province of La Rioja, as lender, and Banco Rioja S.A., as trustee, in a loan in the amount of US$ 170 million granted to Parque Eólico Arauco S.A.P.E.M., a partnership of the provincial government and Energía Argentina S.A. (ENARSA), whose purpose is the commercialization of energy. The proceeds of the loan will be used for the development of three new wind farms: Stage 3 of the Arauco I Wind Farm and stages 1, 2, 3 and 4 of the Arauco II Wind Farm (2017).

(DESA), to finance the acquisition of an indirect stake of 90% of Empresa Distribuidora de Energía Norte S.A. (EDEN) and Empresa Distribuidora de Energía Sur S.A. (EDES) (2016).

  • Sole Argentine counsel to the syndicate of international banks that allowed the Argentine Central Bank (BCRA) to increase the level of its international monetary reserves. The transaction consisted a series of repurchase agreements of Bonar 2022, Bonar 2025 and Bonar 2027 bonds in the BCRA portfolio for an aggregate amount of US$ 5 billion for the purpose of bolstering foreign reserves and facilitating the BCRA’s capacity to confront external shocks and, thereby, avoid disruption in the local market (2016).

  • China Development Bank Corporation and Industrial and Commercial Bank of China Limited in a credit facility agreement for an amount of up to US$ 2,099,965,834 entered into with The Ministry of Economy and Public Finance of the Republic of Argentina (Ministerio de Economía y Finanzas Públicas de la República Argentina) on behalf of the Republic of Argentina, and China Export & Credit Insurance Corporation (SINOSURE), with the purpose of financing a rehabilitation project of the Belgrano Cargas railway line by financing direct payments in the course of a commercial contract between The Ministry of the Interior and Transport of the Republic of Argentina (Ministerio del Interior y Transporte de la República Argentina) and China Machinery Engineering Corporation (2014).

The borrower is a leading company in Argentina in the waste collection industry, transport and treatment of pathogenic, special, hazardous and industrial waste. The proceeds of the loan were applied by the borrower to acquire an argentine company in the same industry. The parent company of the borrower based in the United States acted guarantor of the facility (2014).
  • Banco de Galicia y Buenos Aires S.A. and Banco de la Ciudad de Buenos Aires, as lenders and arrangers of a loan in the amount of AR$ 35 million to Barugel Azulay & Cía. S.A.I.C., a leading Argentine company in bathroom and kitchen items. The funds of the loan were destined to finance certain investment projects in the city of Buenos Aires (2014).

  • Credit Suisse International -as lender- and Credit Suisse AG, London Branch -as administrative agent- in a loan granted to Central Térmica Roca S.A., an Argentine company belonging to the Albanesi Group, for an aggregate amount of up to US$30 million. Additionally, Standard Bank Argentina S.A. -as arranger and administrative agent-, Banco Itaú Argentina S.A. -as arranger-, and Banco de la Ciudad de Buenos Aires, granted the company a loan for an aggregate amount of up to AR$85 million. The loans were granted to finance works relating to (i) the re-commissioning of the turbine, (ii) the conversion of the Turbine to a dual-fuel unit (by adding liquid fuel operation capacity to the plant) and (iii) the construction of certain ancillary facilities; all this work to be done in Central Termoeléctrica Roca, an existing 126 MW generation plant located in the city of General Roca, province of Río Negro, Argentina (2012).
  • Banco Itaú Argentina S.A. -as administrative agent-, Standard Bank Argentina S.A. and Banco de la Ciudad de Buenos Aires in a financing to Rovella Carranza S.A. (“Rovella”) for the acquisition of the future controlling company –EDESAL Holding– of Empresa Distribuidora San Luis S.A. (“EDESAL”), through the provision of a syndicated loan in the amount of forty-five million pesos ($45,000,000) in favor of Rovella, and a syndicated loan in the amount of sixty million pesos ($60,000,000) in favor of EDESAL (2011).
  • International Finance Corporation (IFC), as lender, in a US$5 million and €13,829,345 loan granted to S.A. San Miguel A.G.I.C.I. y F. and secured by a second degree mortgage, to finance the corporate investment programme of the company in the Province of Tucumán and to refinance certain existing indebtedness (2011).
  • Interamerican Development Bank (IDB), as lender, in the refinancing of a US$80 million loan granted to Adeco Agropecuaria S.A. and Pilagá S.A., as borrowers jointly liable, in December 2008 and secured by a first degree mortgage, and simultaneous disbursement of US$30,833,520 thereunder to be used in agribusiness activities of the borrowers in Argentina (2011).
  • Inter-American Development Bank (IDB), as lender under a US$150 million loan agreement to Wind Power Energia S.A. -a subsidiary of Industrias Metalúrgicas Pescarmona S.A.I.C. y F. (IMPSA)- and guaranteed by IMPSA, for the financing of wind energy generation projects in Latin America (2011).
  • Credit Suisse International, as lender, in the refinancing of US$23.5 million secured debt of Patagonia Bioenergía S.A., to be used for the expansion of its biodiesel production capacity (2011).
  • International Finance Corporation (IFC) in a US$ 10 million loan to FV S.A., Argentina’s leading manufacturer of bathroom and kitchen fixtures (2011).

  • Banco Santander Río S.A., as lender, in a AR$44 million credit facility granted to Central Buen Ayre S.A., funds which will be used by the company to finance the Clean Development Mechanism project which is under registration before the United Nations as a project named “Norte III.C landfill – Methane recovery and power generation project” that involves the collection, treatment, processing and power generation from gas generated by urban solid waste contained in one of CEAMSE’s landfill, located in Partido de Tigre and San Miguel. Furthermore, part of the funds will be used to finance the construction of a plant, to be carried out by Caterpillar Financial Corporation S.A., for the capture and destruction of landfill gas produced by urban solid waste contained in such module (2011).
