We advised on the issuance of Notes by Banco de Servicios y Transacciones S.A. for AR$6,735,725,864 and US$10,214,576
On July 15, 2025, Banco de Servicios y Transacciones S.A. (“BST”) successfully completed the issuance of its Series XXII and Series XXIII simple notes, not convertible into shares, under its global note program for the issuance of simple (non-convertible into shares) notes for up to US$100,000,000 (or its equivalent in other currencies or units of value) (the “Notes”).
Series XXII Notes were denominated, subscribed, and payable in Pesos, at a variable interest rate, for a nominal value of $6,735,725,864, maturing on January 15, 2026, with an applicable margin of 4.00%. The capital will be amortized in a single payment at maturity.
Series XXIII Notes were denominated, subscribed, and payable in U.S. Dollars in Argentina, at a fixed annual nominal interest rate of 8.00%, for a nominal value of US$10,214,576, maturing on July 15, 2026. Of this total amount, US$9,002,576 were subscribed in cash and US$1,212,000 were subscribed in kind through the delivery of Series XXI Notes. The capital will be amortized in a single payment at maturity.
In addition, the Notes have been rated “ML A-1.ar” by Moody’s Local AR Agente de Calificación de Riesgo S.A. and “A1(arg)” by FIX SCR S.A. (affiliated of Fitch Ratings). The Notes have been admitted for listing in Bolsas y Mercados Argentinos S.A. and authorized for trading in the A3 Mercados S.A.
BST acted as issuer, arranger, placement and settlement agent, and Balanz Capital Valores S.A.U., Invertironline S.A.U., Cocos Capital S.A., Puente Hnos S.A., S&C Inversiones S.A., ST Securities S.A., Banco Patagonia S.A., Provincia Bursátil S.A. and SBS Trading S.A. acted as placement agents.
