IGJ General Resolution 12/2026: New Rules on Beneficial Ownership, PEPs and Source of Funds
Through General Resolution No. 12/2026, Argentina’s Corporate Registry (IGJ) has overhauled its anti-money laundering, counter-terrorist financing and counter-proliferation financing (AML/CFT/CPF) framework. The new framework aligns with Law 27,739 and FATF Recommendations 24 and 25. The approach is less blanket paperwork and more risk-based verification.
GR 12/2026 in force: December 4, 2026, 30 calendar days after its publication in the Official Gazette on November 4, 2026.
What changes for your business:
- Source of funds, only where there is risk. On incorporation and capital increases, a sworn statement is required only for cash contributions above 120 Minimum Living Wages. It is not required when contributions are paid by deposit or transfer from the contributor’s bank account.
- One annual deadline. The annual compliance statements, previously governed by four articles with different deadlines, are now consolidated. They are due on the last business day of April and cover the prior year. The new text applies starting with the 2026 statement.
- Who must file the annual statement. Section 299 companies that are reporting entities and are not supervised by the Central Bank, the CNV or the SSN must file. So must trustees and other trust participants, First Division and Primera Nacional football clubs, and companies that take in savings from the public.
- Stricter beneficial ownership rules. The statement must be updated within 30 calendar days of any change and reconfirmed once a year. It must disclose whether any shareholder or director acts on behalf of a third party. It must always identify at least one natural person.
- Foreign companies. They must state whether they allow bearer shares and identify the holders.
- Listed groups. Where the majority interest belongs to a company listed under equivalent transparency requirements, the statement may simply say so.
- Trusts and foreign trustees. Beneficial owners of each party to the trust must be identified. Trustees, including foreign trustees with a registered branch or representative office, must disclose their status to the reporting entities they deal with.
- Politically Exposed Persons. Directors, statutory auditors and representatives must declare their status when appointed. The statement must be updated within 30 days of any change.
- Keep the records and respond promptly. Supporting records must be kept for 10 years. The IGJ will check filings against the Beneficial Ownership Registry, RENAPER, UN lists and RePET. If there are alerts or inconsistencies, requests must be answered within 10 business days.
- Confidentiality. These statements are confidential and are not part of the public file.
- Consequences of non-compliance. Without the required statements, the IGJ will not register or complete filings. Penalties under Law 22,315 may also apply.
⏳ Transition period: under Section 4 of GR 12/2026, registered entities and trustees have 180 days to bring their PEP, beneficial ownership and trustee information up to date. No penalties apply during that period.
