We acted as local legal counsel to AES Argentina Generación S.A. in the International Exchange Offer of its Notes for US$145,854,000
On August 30, 2023, AES Argentina Generación S.A. (“AES Argentina”), a leading company in the electric energy sector, successfully concluded the exchange offer of its 7,750% Notes due 2024 (the “Old Notes”), for newly issued 9.50% Notes due 2027 (the “New Notes”) and cash consideration (the “Exchange Offer”); as provided in the Suplemento de Prospecto y Canje and the Exchange Offer Memorandum, both dated July 13, 2023 (as subsequently amended). The New Notes have been guaranteed by Energética Argentina S.A. and Vientos Neuquinos I S.A.
AES Argentina concluded the Exchange Offer with a total participation of US$ 145,854,000 in aggregate principal amount of Old Notes, representing 53.13% of the aggregate principal amount of Old Notes outstanding.
Citigroup Global Markets Inc., Santander US Capital Markets LLC, HSBC Securities (USA) Inc., and J.P. Morgan Securities LLC acted as dealer managers(the “Dealer Managers”), and Banco Itaú Argentina S.A., Itaú Valores S.A., Industrial and Commercial Bank of China (Argentina) S.A.U., and Banco Santander Argentina S.A. acted as local placement agents (the “Local Placement Agents”).
