We advised the placement agents on CGC’s issuance of Notes for US$65,275,749
Bomchil has advised Compañía General de Combustibles S.A. and Bruchou & Funes de Rioja acted as counsel to the placement agents on the recent issuance of the company’s (i) 0.00% Notes Series 31 due in June 2026 (Obligaciones Negociables Clase 31) issued at a price of 116.300% for an amount of US$52,379,297 denominated in U.S. Dollars and payable in Argentine Pesos at the prevailing exchange rate; and (ii) 6.00% Notes Series 32 due in December 2025 (Obligaciones Negociables Clase 32) issued at a price of 100.000% for an amount of US$12,896,452, denominated and payable in U.S Dollars at the prevailing exchange rate.
The issuance date took place on June 9, 2023 under the company’s Frequent Issuer Program. The proceeds from the placement of the Notes Series 31 and 32 will be applied in accordance with the provisions of Section 36 of the Negotiable Securities Law, to any of the following purposes: (i) investment in physical assets located in the country; (ii) refinancing of liabilities; (iii) integration of working capital in the country; (iv) acquisition of goodwill located in the country; and/or (v) integration of capital contributions in companies controlled or related to the issuing company, to the acquisition of equity interests and/or financing of the commercial line of business of the issuing company.
Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A.U., Allaria S.A and Banco Santander Argentina S.A. acted as book-running managers and placement agents, while BACS Banco de Crédito y Securitización S.A, Facimex Valores S.A, Banco Hipotecario S.A., Banco Mariva S.A., TPCG Valores S.A.U., Balanz Capital Valores S.A.U., Cocos Capital S.A., Puente Hnos.
