We advised Vista Energy Argentina S.A.U. in the issuance of Notes for US$78,764,405
On May 3th, Vista Energy Argentina S.A.U. (“Vista”) successfully issued (i) the Additional Class XXIII Notes -single, non-convertible into shares, denominated, integrated and payable in U.S. Dollars abroad-, for a nominal amount of US$ 32,202,616 (U.S. dollars thirty-two million two hundred two thousand six hundred sixteen) (the “Additional Class XXIII Notes”); and (iii) the Class XXIV Notes -single, non-convertible into shares, denominated, integrated and payable in U.S. dollars abroad-, for a nominal amount of US$ 46, 561,789 (forty-six million five hundred sixty-one thousand seven hundred eighty-nine million United States Dollars) (the “Class XXIV Notes”, and together with the Additional Class XXIII Notes, the “Notes”). The issuance was made under the company’s Global Program of up to US$800,000,000 (or its equivalent in other currencies or units of value).
The Class XXIII Notes, maturing on March 66h, 2027, will accrue interest at a nominal annual fixed rate, equivalent to 6.50%, and will amortize its principal in one payment on the maturing date. In turn, the Class XXIV Notes will accrue a fixed interest rate of 8% annual nominal amount and the principal will be amortized in four (4) consecutive semiannual installments per semiannual period in arrears.
Additionally, the Notes were admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading at Mercado Abierto Electrónico S.A. On April 24th, 2024, FIX SCR S.A. Agente de Calificación de Riesgo (Fitch Ratings Affiliate), and Moody’s Local AR Agente de Calificación de Riesgo S.A., on the same date, locally rated the Notes as “AAA(arg)” and “AAA.ar”, respectively, with a “stable” outlook.

S.A., Banco Santander Argentina S.A., SBS Trading S.A. and Banco Supervielle S.A., acted as placement agents (all of them, collectively, the “Placement Agents”).
