We advised Genneia on its second international corporate issuance of Green Notes listed on BYMA’s SVS Panel

On December 2, 2025, Genneia S.A. (“Genneia”), Argentina’s leading renewable energy developer and generator, issued its Class XLIX notes denominated in U.S. dollars, for a nominal amount of US$400,000,000, at a fixed annual nominal interest rate of 7.750% and maturing on December 2, 2033 (the “Notes”), to be subscribed and payable abroad. The Notes were issued under the Simplified Frequent Issuer Regime.

The issuance was carried out in accordance with Rule 144A and Regulation S under the U.S. Securities Act.

This issuance marks a milestone in the local market, as it constitutes the second international corporate issuance listed on BYMA’s SVS Panel (the first being Genneia’s Class XXXI Notes).

The Notes are aligned with (i) the 2021 Green Bond Principles (GBP) of the International Capital Market Association (ICMA), (ii) the Guidelines for the Issuance of Social, Green and Sustainable Securities in Argentina set forth by the Argentine Securities Commission (Comisión Nacional de Valores) regulations, and (iii) the Guide for Social, Green and Sustainable Bonds on the Bolsas y Mercados Argentinos S.A. (“BYMA”) Panel.

The Notes have been admitted for listing on BYMA’s SVS Panel and authorized for trading on A3 Mercados S.A.

J.P. Morgan Securities LLC, Santander US Capital Markets LLC, BBVA Securities Inc., and Balanz Capital UK LLP acted as initial purchasers, leading the international placement of the Notes (the “Initial Purchasers”), and Banco Santander Argentina S.A., Balanz Capital Valores S.A.U., Macro Securities S.A.U., Banco CMF S.A., and Bull Market Brokers S.A. acted as local placement agents of the Notes (the “Local Placement Agents”). UMB Bank, N.A. acted as Trustee, Registrar, Paying Agent and Transfer Agent under the indenture entered into with Genneia and Banco Santander Argentina S.A., the latter acting as the Trustee’s Representative in Argentina, as well as Registrar, Transfer Agent and Paying Agent in Argentina.
