We advised Valida’s shareholders on the sale of the company to Unico
Bruchou & Funes de Rioja and Marval O’Farrell Mairal acted as legal counsel in connection with the transaction for the acquisition of Valida, an Argentine company specializing in biometric technology for digital identity, by Unico, a Brazilian technology company specializing in digital identity solutions.
Valida develops identity verification solutions based on facial biometrics for user onboarding and authentication processes. Its platform, which has conducted more than 25 million identity validations, holds a 50% market share in Argentina’s banking sector and is used by financial institutions and companies across various industries to prevent fraud and enable secure digital transactions.
Unico, valued at approximately US$2.6 billion, is one of Latin America’s leading digital identity technology companies. The transaction marks its entry into the Argentine market and represents another milestone in its expansion across Latin America, where it already maintains large-scale operations in Brazil and Mexico and serves clients throughout the region.
The Bruchou & Funes de Rioja team advised Valida and its shareholders and was led by Exequiel Buenaventura, partner in the firm’s M&A practice, and Franca Stafforini, senior associate, with the participation of associates Josefina De La Torre and Celina Sanguinetti. Carolina de Felipe and Victoria Ficher (Companies Law & Corporate Governance) also participated in the transaction.
