We advised in Central Puerto S.A.’s Reg S international offering for US$50,000,000

New Deal - November 8, 2023

Bruchou & Funes de Rioja acted as Deal Counsel, advising Central Puerto S.A. (the “Issuer”) Balanz Capital Valores S.A.U., Banco de Galicia y Buenos Aires S.A.U., and Puente Hnos. S.A. as placement agents (the “Placement Agents”), in Central Puerto S.A.’s issuance of Series B Notes for an aggregate value of US$50,000,000, subscribed under its program for the issuance of simple notes (non-convertible into shares) for up to US$500,000,000 (or its equivalent in other currencies and/or value units).

The Series B Notes offering was addressed (i) in Argentina through a public offering only for “qualified investors” (inversores calificados); and (ii) an international offering not registered under the U.S. Securities Act of 1933, as amended, (“Securities Act”) only for persons other than “U.S. persons” (as defined in Rule 902 under the Securities Act) and who are not acquiring Series B Notes for the account or benefit of a U.S. person, in offshore transactions in compliance with Regulation S under the Securities Act.

The Series B Notes are denominated in US dollars, maturing on October 17, 2025, with a fixed annual nominal interest rate of 10%.

The Series B Notes were listed on MAE, BYMA and the Luxembourg Stock Exchange for trading on its Euro MTF Market.

The Bank of New York Mellon acted as Trustee and Registrar and Transfer Agent. The Bank of New York Mellon, London Branch acted as Paying Agent. Banque Internationale à Luxembourg SA acted as Luxembourg Listing Agent. Banco Santander Argentina S.A. acted as Argentine Trustee Representative.
