We advised Pluspetrol on the international issuance of Notes for US$450,000,000
Pluspetrol S.A. (the “Company”) completed a local and international offering (the “Offering”) of notes due 2037 (the “Notes”) in an aggregate principal amount of US$450,000,000 (four hundred fifty million U.S. dollars).
The Notes will bear interest at a fixed rate of 7.55% per annum. Interest will be payable semi-annually in arrears on March 30 and September 30 of each year, beginning on March 30, 2027. The principal amount of the Notes will be amortized in three consecutive annual installments: on September 30, 2035, in an amount equal to 33% of the original principal amount of the Notes; on September 30, 2036, in an amount equal to 33% of the original principal amount of the Notes; and on the final maturity date of the Notes, September 30, 2037, in an amount equal to 34% of the original principal amount of the Notes.
BofA Securities, Inc., Citigroup Global Markets Inc., Santander US Capital Markets LLC, and J.P. Morgan Securities LLC acted as initial purchasers of the Offering outside Argentina. Balanz Capital Valores S.A.U., Banco de Galicia y Buenos Aires S.A., Banco Santander Argentina S.A., Cucchiara y Cía. S.A., and Macro Securities S.A.U. acted as local placement agents for the Offering in Argentina. Citibank, N.A. acted as trustee, registrar, transfer agent and paying agent under the indenture entered into with the Company, and the Argentine branch of Citibank, N.A. acted as trustee representative in Argentina, co-registrar, paying agent and transfer agent in Argentina.
The Offering closed on June 30, 2026.
